1. Introduction & Acceptance

Welcome to CryptoRep ("we," "us," "our"), a cryptocurrency intelligence platform accessible at cryptorep.io (the "Platform"). These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you," "your") and CryptoRep governing your access to and use of our services.

By creating an account, accessing, or using any part of the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Cookie Policy. If you do not agree to these Terms, you must not use the Platform.

2. Eligibility

To use CryptoRep, you must:

  • Be at least 18 years of age or the age of majority in your jurisdiction, whichever is higher.
  • Have the legal capacity to enter into a binding agreement.
  • Not be located in, or a resident of, any country subject to comprehensive international sanctions (including but not limited to North Korea, Iran, Syria, Cuba, and the Crimea, Donetsk, and Luhansk regions of Ukraine).
  • Not be listed on any governmental list of prohibited or restricted parties.

By using the Platform, you represent and warrant that you meet all of the above eligibility requirements.

3. Account Registration & Security

To access certain features of the Platform, you must register for an account. When registering, you agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain and promptly update your account information to keep it accurate and current.
  • Maintain the security and confidentiality of your login credentials.
  • Not share your account credentials with any third party.
  • Immediately notify us at contact@cryptorep.io of any unauthorized access to or use of your account.

You are solely responsible for all activity that occurs under your account. CryptoRep will not be liable for any loss or damage arising from your failure to maintain the security of your account.

4. Description of Services

CryptoRep is a cryptocurrency intelligence and data aggregation platform. Our services include, but are not limited to:

  • Real-time price data aggregated from major cryptocurrency exchanges.
  • AI-summarized crypto news curated from various news sources.
  • Price movement alerts and notifications for tracked cryptocurrencies.
  • Token research and metadata including project details, metrics, and market data.
  • Portfolio tracking and watchlist management tools.

CryptoRep is NOT a cryptocurrency exchange, broker, dealer, financial institution, or custodian. We do not facilitate the buying, selling, exchanging, or custody of any cryptocurrency or digital asset. We do not hold, manage, or have access to your funds at any time.

5. Subscription Plans, Fees & Payment

5.1 Plans and Pricing

CryptoRep offers the following subscription tiers:

  • Free — Limited access to basic features at no cost.
  • Plus — $10/month (or $8.50/month billed annually).
  • Pro — $25/month (or $21/month billed annually).
  • Max — $50/month (or $42/month billed annually).

Prices are displayed in US Dollars (USD). We reserve the right to modify pricing at any time with prior notice to existing subscribers.

5.2 Payment Processing

All payments are processed securely through Stripe, a PCI-compliant third-party payment processor. CryptoRep does not directly store your full payment card details. By subscribing, you also agree to Stripe's Terms of Service.

5.3 Auto-Renewal

Subscriptions automatically renew at the end of each billing cycle (monthly or annually) unless cancelled before the renewal date. You will be charged the then-current subscription fee upon renewal.

5.4 Cancellation

You may cancel your subscription at any time through your account settings or the billing portal. Upon cancellation, your subscription will remain active until the end of the current billing period. No partial refunds will be issued for unused time within a billing period, except where required by applicable law (see Section 19 regarding your withdrawal right).

5.5 Upgrades and Downgrades

Plan upgrades take effect immediately, with prorated charges applied for the remainder of the current billing period. Plan downgrades are scheduled to take effect at the start of the next billing period.

6. Free Trial & Refund Policy

CryptoRep may offer free trial periods for paid subscription plans at its discretion. The terms and duration of any free trial will be communicated at the time of enrollment. Unless you cancel before the trial period ends, your subscription will automatically convert to a paid subscription and you will be charged the applicable fee.

Except where required by applicable law (including the EU right of withdrawal described in Section 19), all subscription fees are non-refundable. If you believe you have been charged in error, please contact us at contact@cryptorep.io and we will review your case.

7. Permitted Use & Restrictions

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your personal, non-commercial use, subject to these Terms.

You agree NOT to:

  • Copy, reproduce, distribute, or create derivative works from any content on the Platform without prior written consent.
  • Use automated systems, bots, scrapers, or any other means to extract data from the Platform.
  • Reverse engineer, decompile, or disassemble any part of the Platform's software.
  • Interfere with or disrupt the integrity or performance of the Platform or its servers.
  • Attempt to gain unauthorized access to other users' accounts or any restricted portions of the Platform.
  • Use the Platform for any illegal activity or in violation of any applicable law or regulation.
  • Resell, redistribute, or commercially exploit access to the Platform or its data without our express written permission.
  • Circumvent, disable, or otherwise interfere with any security or access-control features of the Platform.

8. Intellectual Property

The Platform, including its design, layout, text, graphics, logos, icons, images, audio, video, software, and all other content ("CryptoRep Content"), is the exclusive property of CryptoRep or its licensors and is protected by applicable copyright, trademark, patent, and other intellectual property laws.

The CryptoRep name, logo, and all related product and service names, design marks, and slogans are trademarks of CryptoRep. You may not use such marks without our prior written permission.

Nothing in these Terms grants you any right, title, or interest in the Platform or CryptoRep Content beyond the limited license described in Section 7.

9. User Content

Certain features of the Platform may allow you to create, submit, or store content, such as watchlists, portfolio configurations, alert settings, and display preferences ("User Content"). You retain ownership of your User Content.

By submitting User Content to the Platform, you grant CryptoRep a worldwide, non-exclusive, royalty-free license to use, store, process, and display your User Content solely for the purpose of providing and improving the Platform's services to you.

You represent and warrant that your User Content does not violate any third-party rights and complies with all applicable laws.

10. Third-Party Content & Data Sources

CryptoRep aggregates data from third-party sources, including cryptocurrency exchanges, news outlets, and public data providers. While we strive to present accurate and timely information, we do not independently verify all third-party data and cannot guarantee its accuracy, completeness, or reliability.

The Platform may contain links to third-party websites or services. These links are provided for convenience only and do not imply endorsement or affiliation. CryptoRep is not responsible for the content, privacy policies, or practices of any third-party websites or services.

Third-party data, trademarks, and logos displayed on the Platform remain the property of their respective owners.

11. Cryptocurrency Disclaimers

THE FOLLOWING DISCLAIMERS ARE CRITICAL. PLEASE READ THEM CAREFULLY.

  • Not Financial Advice. Nothing on the Platform constitutes financial, investment, tax, legal, or other professional advice. CryptoRep provides data and information for informational purposes only.
  • Not a Solicitation. Nothing on the Platform should be construed as an offer, solicitation, or recommendation to buy, sell, hold, or trade any cryptocurrency, token, or digital asset.
  • Data May Be Inaccurate or Delayed. Cryptocurrency prices, market data, and other information displayed on the Platform are aggregated from third-party sources and may contain errors, inaccuracies, or delays. You should not rely solely on data from CryptoRep for any financial decisions.
  • High-Risk Asset Class. Cryptocurrencies and digital assets are highly volatile and speculative. The value of any cryptocurrency can decrease significantly or become worthless. You could lose some or all of your investment.
  • Do Your Own Research. You are solely responsible for conducting your own due diligence and research before making any investment or financial decisions. Consult a qualified financial advisor if you are unsure.
  • Past Performance. Past performance of any cryptocurrency is not indicative of future results. Historical data displayed on the Platform should not be relied upon as a prediction of future price movements.
  • No Deposit Protection. Cryptocurrency holdings are generally not protected by deposit guarantee schemes or investor protection funds in most jurisdictions.

12. AI-Generated Content Disclaimer

CryptoRep uses artificial intelligence (AI) technologies to generate news summaries, analysis, and other content on the Platform. You acknowledge and understand that:

  • AI-generated content is probabilistic in nature and may contain errors, inaccuracies, hallucinations, or misleading information.
  • AI-generated summaries may not fully or accurately represent the original source material.
  • AI-generated analysis does not constitute professional advice and should not be relied upon as the sole basis for any decision.
  • CryptoRep does not guarantee the accuracy, reliability, or completeness of any AI-generated content.
  • You should always verify AI-generated content against original sources before acting upon it.

13. No Warranty

THE PLATFORM AND ALL CONTENT, DATA, AND SERVICES PROVIDED THROUGH IT ARE OFFERED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

CryptoRep does not warrant that the Platform will be uninterrupted, secure, error-free, or free of viruses or other harmful components, or that any content or data will be accurate or reliable.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CRYPTOREP, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM.

IN NO EVENT SHALL CRYPTOREP'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE PLATFORM EXCEED THE AMOUNT YOU HAVE PAID TO CRYPTOREP IN SUBSCRIPTION FEES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR ONE HUNDRED EUROS (EUR 100), WHICHEVER IS GREATER.

CryptoRep shall not be liable for any financial losses incurred as a result of investment or trading decisions made based on data, content, or information available through the Platform.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, the limitations and exclusions set forth above shall apply to the fullest extent permitted by applicable law.

15. Indemnification

You agree to indemnify, defend, and hold harmless CryptoRep, its directors, officers, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Platform; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) your User Content.

16. Termination

You may terminate your account at any time by contacting us at contact@cryptorep.io or through your account settings.

CryptoRep reserves the right to suspend or terminate your account and access to the Platform at any time, with or without cause, and with or without notice. Grounds for termination may include, but are not limited to, violation of these Terms, suspected fraudulent or illegal activity, or extended periods of inactivity.

Upon termination, your right to use the Platform ceases immediately. Sections that by their nature should survive termination shall survive, including but not limited to Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, and Governing Law.

17. Modifications to Terms

CryptoRep reserves the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Last updated" date at the top of this page. For significant changes, we may also notify you via email or an in-app notification.

Your continued use of the Platform after such modifications constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Platform and may cancel your subscription.

18. Governing Law & Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the French Republic, without regard to its conflict of laws principles.

Any dispute arising out of or in connection with these Terms that cannot be resolved amicably or through mediation (see Section 19) shall be submitted to the exclusive jurisdiction of the competent courts of Paris, France, subject to any mandatory consumer protection provisions that may grant jurisdiction to the courts of your place of residence.

19. Consumer Mediation

In accordance with Articles L.612-1 and R.612-1 of the French Consumer Code, if you are a consumer residing in the European Union and a dispute arising from these Terms has not been resolved through our customer service, you have the right to refer the matter to a consumer mediator free of charge. We will communicate the contact details of our designated mediator upon request.

You may also use the European Commission's Online Dispute Resolution platform available at https://ec.europa.eu/consumers/odr.

Right of Withdrawal

If you are a consumer in the European Union, you have the right to withdraw from your subscription within 14 days of your initial purchase without giving any reason. To exercise this right, you must notify us by sending a clear statement to contact@cryptorep.io. Upon valid withdrawal, we will reimburse you using the same payment method used for the original transaction.

Please note that if you have expressly requested that the provision of services begins before the end of the withdrawal period and you have acknowledged that you will lose your right of withdrawal once the service has been fully performed, the right of withdrawal may be limited or excluded in accordance with Article L.221-28 of the French Consumer Code.

20. Force Majeure

CryptoRep shall not be liable for any failure or delay in performing its obligations under these Terms if such failure or delay results from circumstances beyond our reasonable control, including but not limited to natural disasters, acts of government, war, terrorism, civil unrest, power outages, internet or telecommunications failures, cyberattacks, pandemics, or disruptions to third-party services upon which the Platform depends.

21. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, or if modification is not possible, it shall be severed from these Terms. The remaining provisions shall continue in full force and effect.

22. Entire Agreement

These Terms, together with our Privacy Policy, Cookie Policy, and any other legal notices or policies published on the Platform, constitute the entire agreement between you and CryptoRep regarding your use of the Platform. These Terms supersede all prior or contemporaneous agreements, representations, warranties, and understandings, whether written or oral, relating to the subject matter hereof.
